BUYING CONDITIONS – (EU SALES)
1. General Terms
1.1. These Terms and Conditions govern the sale of prefabricated steel frame structures, components, and related services by Prefablot (hereinafter referred to as “the Seller”), a company registered in Spain, to any individual or legal entity (hereinafter referred to as “the Buyer”).
1.2. By placing an order, the Buyer fully accepts these Terms and Conditions. Any deviation must be agreed in writing.
1.3. Products are custom-made (made-to-order) based on the Buyer’s specifications and are therefore subject to specific legal conditions applicable to customized goods within the European Union.
2. Product Nature & Published Prices
2.1. Products displayed on marketplaces (including Leroy Merlin) and the Prefablot website are indicative models and base-price references only.
2.2. Final product configuration depends on structural calculations, engineering design, location, and applicable regulations.
2.3. Consequently, the final price may differ from the published price.
3. Engineering Design Phase (Mandatory)
3.1. All projects require a prior Engineering Design Phase, based on:
Architectural drawings provided by the Buyer, or
Concept plans developed jointly with Prefablot
3.2. This phase includes structural calculations, technical validation, and material optimization.
3.3. The final binding quotation is issued only after completion of the Engineering Design Phase.
3.4. The Seller reserves the right to adjust pricing based on:
Structural requirements
Site conditions
Local regulations
Technical feasibility
4. Pricing Adjustments & Market Conditions
4.1. Prices are subject to variation due to:
Raw material cost fluctuations (steel, insulation, etc.)
Energy costs
Supply chain variations
4.2. The Seller reserves the right to update prices prior to final order confirmation.
5. Transportation & Logistics
5.1. Due to the customized nature of each structure, transportation costs are not final until completion of the Engineering Design Phase.
5.2. Transport pricing depends on:
Final structural weight and volume
Delivery location
Logistics availability
5.3. Significant variations in transport costs may occur and will be communicated before order confirmation.
5.4. Standard delivery includes transport to a designated logistics hub unless otherwise agreed.
5.5. On-site transport, unloading, cranes, and handling are the Buyer’s responsibility.
6. EU Sales, VAT & Cross-Border Responsibilities
6.1. Sales are conducted from Spain under EU regulations for intra-community supply of goods.
6.2. For sales to countries including Portugal, France, Italy, and Poland:
VAT may be exempt (intra-community supply) if the Buyer provides a valid EU VAT number
Otherwise, VAT will be applied according to Spanish or destination country regulations
6.3. The Buyer is responsible for:
Correct VAT registration and reporting
Any local taxes, import duties (if applicable), or administrative costs
Compliance with national construction and import regulations
7. Payment Terms
7.1. Payment conditions will be defined in the commercial offer.
7.2. Production begins only after:
Confirmation of final engineering design
Receipt of agreed payment
7.3. The Seller reserves the right to suspend production or delivery in case of non-payment.
8. Delivery Times
8.1. Delivery times are estimated and depend on:
Engineering completion
Production capacity
Logistics availability
8.2. Delays due to external factors shall not constitute liability.
9. Warranty
9.1. The Seller provides:
3-year warranty on supplied materials and components
5-year structural support warranty on steel frame integrity
9.2. Warranty excludes:
Improper installation
Modifications not approved by the Seller
Inadequate foundations
External factors (weather, misuse, etc.)
9.3. Claims must be submitted within 7 days of delivery for visible defects.
10. Installation & Technical Responsibility
10.1. Unless explicitly included, installation is not part of the sale.
10.2. The Buyer is responsible for:
Hiring qualified contractors
Obtaining permits
Compliance with local building codes
10.3. The Seller provides technical documentation and remote support only.
11. Cancellations
11.1. Orders canceled before Engineering Design may be partially refunded (excluding administrative costs).
11.2. Orders canceled after engineering or production has started are non-refundable or partially refundable depending on progress.
12. Force Majeure
12.1. The Seller is not liable for delays or failure due to events beyond its control, including:
Supply shortages
Transport disruptions
Regulatory changes
Natural events
13. Governing Law
13.1. These Terms are governed by the laws of Spain.
13.2. Any dispute shall fall under the jurisdiction of the courts of Barcelona, Spain, unless otherwise agreed.
